These Terms of Service (“Terms”) for Hobo SEO Auditor, constitute a legally binding agreement between you, the individual or entity using our Services (“User” or “you”), and Hobo Web, (“Hobo”, “Hobo Web”, “we”, “us”, or “our”). By signing up for, accessing, or utilizing our Services or visiting www.hobo-web.co.uk (the “Website”), you confirm that you have reviewed, comprehended, and agree to abide by these Terms. If you are entering into these Terms on behalf of a company or other organization, you affirm that you possess the authority to commit that entity to these Terms, and “you” refers to that entity. If you lack such authority or do not agree with these Terms, you must not accept them or proceed with using our Services. These Terms form a digital contract between you using Hobo SEO Auditor and Hobo Web, enforceable without a physical signature, governing your engagement with our Services.
PLEASE READ THESE TERMS CAREFULLY. IF YOU DO NOT ACCEPT THEM, YOU ARE NOT PERMITTED TO USE OUR SERVICES.
1. Our Services
What We Offer
The “Services” encompass a collection of SEO Services accessible via www.hobo-web.co.uk or another designated URL (the “Website”). These include tools and features designed to support Hobo SEO Auditor, enabling Users to perform SEO, track performance, generate insights, and utilise resources such as an online platform and an optional application programming interface (“API”). If you subscribe to the Hobo SEO Auditor, this is included in the Services, allowing integration with other software or systems to access or process data from the Website, strictly for your internal business needs as outlined in these Terms.
Hobo SEO Auditor Services are hosted on Google Cloud Platform, and your data may be stored and processed on Google’s servers. By using Hobo SEO Auditor Services, you acknowledge and agree to our use of Google Cloud for hosting and data storage purposes. We may utilise tools like Google Sheets, Google Docs, and Gmail internally to manage and deliver the Services.
Enhancements and Add-Ons
We may provide updates, improvements, or new features to Hobo SEO Auditor Services at no extra cost (“Enhancements”), which will be governed by these Terms. You may also choose to purchase additional offerings from Hobo Web, subject to these Terms unless separate conditions apply, which you must accept beforehand. If separate terms govern an add-on, those terms take precedence over these Terms for that add-on, except for Section 5.1 (Payment Terms), which always applies.
Third-Party Connections
Hobo SEO Auditor Services or www.hobo-web.co.uk may link to or integrate with external websites, products, or services (“Third-Party Resources”), such as payment gateways or analytics tools. These are offered for convenience, and we do not control or endorse them. We are not liable for their content, functionality, or any interactions you have with them. Using Third-Party Resources may require agreeing to their own terms and policies.
2. Resolving Disputes Through Arbitration
PLEASE READ THIS SECTION CLOSELY—IT IMPACTS YOUR LEGAL RIGHTS. We both commit to resolving any disputes or issues arising from these Terms or your use of the Services or Website (“Dispute”) through good-faith discussions first. You or we can initiate this by sending a written notice (“Dispute Notice”) detailing the issue and the requested resolution. If unresolved within 30 days of the Dispute Notice, either party may escalate to arbitration by notifying the other in writing. Send notices to us at shaun.anderson@hobo-web.co.uk (“Notice Contact”). Arbitration covers all Disputes, including contract, tort, or statutory claims, and waives your right to join class actions. This applies to Hobo Web, its affiliates, staff, and related parties. You may still pursue individual small claims court cases or report issues to agencies like the ICO – Information Commissioner’s Office. By agreeing, you waive jury trials and class actions, limiting Disputes to individual arbitration. Scotland oversees this arbitration clause, which persists beyond these Terms.
Arbitration Process
Arbitration follows ICO – Information Commissioner’s Office rules, adjusted by these Terms, with one arbitrator experienced in Marketing. Rules are available at www.hobo-web.co.uk.. The arbitrator applies Scottish law, respecting legal privileges and deadlines. Hearings occur in Greenock, unless agreed otherwise. For Disputes up to £5,000, you may choose document-only, phone, or in-person hearings; for over £5,000, standard rules apply. We cover filing and arbitrator fees for claims under $10,000 if you request in writing, unless deemed frivolous. For higher claims, we may cover costs if arbitration is less prohibitive than litigation, as decided by the arbitrator.
Arbitration Limits and Opt-Out
The arbitrator can only grant individual relief, not class-wide remedies, and prior rulings don’t bind other Users. If the class action waiver is invalid, this entire arbitration section becomes void, but other Terms remain. You may opt out within 30 days of accepting these Terms by emailing shaun.anderson@hobo-web.co.uk with your name, address, and opt-out intent. Changes to this section won’t affect ongoing Disputes and will be announced 30 days in advance via the Website or email.
IF YOU REJECT THIS ARBITRATION PROCESS, YOU CANNOT USE OUR SERVICES.
3. Using Our Services
Access Levels
You can browse www.hobo-web.co.uk without registering, but full access to the Services or Hobo SEO Auditor requires an account—either free (“Basic Access”) with free resources and newsletter or paid (“Premium Access”) with enhanced capabilities like detailed reports and settings storage.
Permission to Use
We grant you a limited, non-exclusive right to use Hobo SEO Auditor Services and the Website for your internal business needs, per your chosen subscription plan at www.hobo-web.co.uk and these Terms. You confirm: (a) your registration data is accurate and current; (b) you’re 18 or older with legal capacity; and (c) your use complies with all laws. Minors under 18 cannot register.
Usage Rules
You must not:
- (a) share, sell, resell or lease Hobo Web Services or Products;
- (b) use them illegally, in a way that does not comply with Google quality guidelines or against these Terms;
- (c) reverse-engineer or bypass Service limits;
- (d) disrupt Service security or others’ use;
- (e) alter or copy the Services;
- (f) access them as a competitor; or
- (g) Overload our systems with automated tools.
Follow our policies at our Hobo Web customer portal. For Hobo Web API, limit queries to 10 per second per IP and 10 simultaneous per User, caching data no longer than 2 years without our consent. Report breaches to us promptly.
Data Monitoring
We may track Service usage, aggregating anonymised data for improvement or publication, ensuring your identity stays private.
Beta Features
We may offer early access to new tools (“Beta Features”) for testing. These are confidential, and we can end access anytime without guaranteeing their full release or performance.
Promotions
Occasional giveaways may occur under announced rules. You handle any tax obligations, providing the required forms.
Privacy Commitment
Your data use aligns with our Hobo Web Privacy Policy, part of these Terms. For Third-Party Resource integrations processing personal data, you’re the data controller, and our Data Processing Agreement at www.hobo-web.co.uk applies, overriding conflicting Terms. The Services aren’t built for sensitive data; we’re not liable for related misuse.
4. Account Setup and Management
Creating an Account
Register Access via the Website, using Stripe as our payment processor. Subscription requires billing info. Accounts are for individuals – “Authorised Users,” bound by these Terms. You can add as many users as you wish to reports. Accounts aren’t transferable without our approval.
Your Duties
You’re responsible for:
- (a) Authorised Users’ compliance;
- (b) Keeping account details updated; and
- (c) Securing your login and API key.
You provide your own tech setup for access.
5. Payment Terms
Charges
Subscription Users pay fees per your subscription plan or a signed agreement (“Fees”). Post-trial, fees auto-charge monthly or yearly via accepted methods at www.hobo-web.co.uk. Fees are in UK currency; you cover conversion fees. We may auto-update card details or charge 1.5% monthly interest on late invoices, plus collection costs. Non-payment may end your access. View plans at your account; bank fees are yours. See our Cancellation Policy. Fees are generally non-refundable. Repeated cancellations may limit future sign-ups.
Taxes
Fees exclude taxes, which you pay unless based on our income. Provide VAT/GST numbers if applicable; no refunds for missing numbers.
Fee Adjustments
Exceed your plan’s User limit, and extra fees apply. Add-on fees start immediately; general fee changes hit at renewal, with notice.
Payment Processing
Payments are processed through Stripe, a third-party processor. By providing payment information, you agree to Stripe’s Terms of Service and Privacy Policy (Stripe Terms), incorporated herein.
Refund Policy
We offer a 7 days satisfaction guarantee for new subscribers. If you’re not satisfied within 7 days of your first payment, request a refund at shaun.anderson@hobo-web.co.uk, provided you’ve only explored basic features and state a valid reason. After 7 days, Fees are non-refundable. We may refuse refunds for bad faith or abusive use, including repeated cancellations.
6. Intellectual Property
Ownership
The Website, Services, Hobo Web API, and related technology are owned by Hobo Web or its licensors, including all intellectual property rights globally. Only access rights are granted; we retain all else.
Our Brands
Hobo Web and Hoboweb (“Hobo Marks“) are ours. Don’t use them without permission or in a negative way, per our guidelines. Don’t challenge our ownership.
Your Marks
Your marks, data and details are all covered by our Hobo Web NDA.
Feedback Rights
Optional feedback you give us is ours to use freely, non-confidentially.
Copyright Claims
Report infringements to shaun.anderson@hobo-web.co.uk Include work details, infringing content location, good-faith statement, accuracy oath, contact info, and signature. We’ll act as we see fit under Consumer Rights Act 2015.
7. Duration and Termination
Duration
These Terms begin when you first visit the Website and last while you use our Services, unless otherwise specified.
Subscription Terms
Subscription plans auto-renew per your initial term unless you notify us of non-renewal at Contact Hobo Web before it ends.
Cancellation
Cancel per our Hob Web Cancellation Policy. Cancelled subscription ends at the term’s close; Basic within 7 days. No refunds unless noted; we may cancel anytime, refunding unused fees if we initiate.
Account Deletion
Delete your account via Contact Hobo Web; we may erase your data post-deletion, and you owe prior fees.
Termination for Cause
Either party can end these Terms for:
- (a) 30-day uncured breach notice; or
- (b) bankruptcy proceedings.
We may also terminate for reputational harm (30 days’ notice) or Section 10 breach (immediate). You get unused fee refunds if you terminate for cause; we don’t if we do.
Service Suspension
We may suspend Services for legal violations, court orders, or security threats, notifying you electronically. Users get 30 days’ post-notice to save data before deletion. Non-payment past 10 days may suspend updates, with reactivation fees.
Basic Access End
We can limit or end Basic Access anytime without notice, including for inactivity.
Post-Termination
Rights end at termination; we may delete data after 30 days, retaining legally required copies. Indemnity and liability terms survive.
8. Warranties and Liability
No Guarantees
Services and the Website are “as-is.” We disclaim all warranties (e.g., merchantability, fitness, accuracy) unless the law prohibits. No promises on uptime, suitability, or safety.
Liability Cap
Except for indemnity, neither party owes indirect damages (e.g., lost profits). Our total liability is the greater of $50 or your last 3 months’ fees. Claims must start within 1 year. This applies as law allows.
Third-Party Disclaimer
We’re not liable for Third-Party Resources or their use of your content.
9. Indemnification
You’ll defend and cover Hobo Web and its team against claims from:
- (a) Your Terms breach;
- (b) your content;
- (c) Service misuse; or
- (d) legal violations.
This outlasts these Terms. We may lead defence if we choose, and you’ll assist.
10. Export Compliance
Hobo Items (Services, tech, etc.) follow Scotland export rules via the ICO – Information Commissioner’s Office. Don’t use or share them illegally, especially in sanctioned areas or with listed entities. You confirm compliance and non-involvement with restricted parties.
11. General Terms
- Confidentiality: Protect shared confidential info as your own, using it only for these Terms. Exceptions: public data, pre-owned info, or legally sourced. Notify us of legal disclosure demands.
- Assignment: You need our consent to assign these Terms; we don’t. Invalid assignments void.
- Uncontrollable Events: We’re not liable for delays beyond our control (e.g., natural disasters, outages).
- Law and Venue: Scotland rules, with disputes in Greenock, barring arbitration. No UN Sales Convention applies.
- Notices: We email your account address; update it at info@hobo-web.co.uk. Legal notices to shaun.anderson@hobo-web.co.uk.
- Full Agreement: These Terms are the complete deal, overriding prior talks. Website conflicts favour these Terms. Resellers don’t alter our commitments.
- Updates: Terms may change at https://www.hobo-web.co.uk/terms-of-use/; continued use post-update means acceptance. Cancel by Contact Hobo Web if changes reduce functionality significantly.
- Language: English governs unless local law mandates otherwise, then we’ll provide a local version on request.
- No Waiver: Delays in enforcing rights don’t waive them.
- Severability: Invalid terms don’t void others.
- No Partnership: These Terms don’t create special relationships.
- No Third-Party Rights: Only you and we benefit.
- Government Use: Services are commercial; the Scottish government uses these Terms’ public rights.
